Client Responsibilities

Client Systems and Third-Party Platforms
Systems4Scaling™ may work with or recommend third-party platforms, software, CRM systems, communication platforms, automation tools, analytics systems, payment providers or other technology.
Third-party products and services are governed by their own terms and policies.
Systems4Scaling™ does not control third-party platforms and cannot guarantee their availability, security, functionality, pricing or continued operation.
Where a third-party platform is required for an engagement, the client may be responsible for maintaining its account, subscription and associated costs unless otherwise agreed in writing.
Fees and Payment
Fees, payment schedules, contract duration, payment methods and any applicable taxes or charges will be specified in the applicable proposal, order form, statement of work, invoice or engagement agreement.
Unless otherwise agreed in writing, fees are payable according to the agreed payment schedule.
Where a client fails to make a required payment, Systems4Scaling™ may, subject to applicable law and the relevant agreement:
Nothing in these Terms removes or limits any rights a consumer may have under applicable law.
For consumer contracts, Irish law imposes requirements concerning pricing, contract information, service performance and cancellation rights in applicable circumstances.

- Take other contractual steps available under the applicable agreement.
Contract Term and Termination
The duration of a client engagement will be specified in the applicable agreement.
Termination rights, notice requirements and financial consequences of termination will be governed by the applicable agreement and applicable law.
Systems4Scaling™ may terminate or suspend an engagement where permitted by the applicable agreement, including where there is a material breach that is not remedied within a reasonable period after notice.
Termination will not affect rights or obligations that accrued before termination.
Intellectual Property
Unless otherwise agreed in writing, Systems4Scaling™ retains ownership of its pre-existing intellectual property, methodologies, frameworks, systems, processes, templates, tools, documentation, training materials, models, designs, software, content and know-how.
